Terms of Service General information The company Deepxclusive S.a.r.l-s, hereinafter referred to as "COMPANY," is registered at 20 rue D'Arlon, L-9155 – Grosbous, Luxembourg. After placing an order, COMPANY sells and delivers optimized automotive software for engine management systems, tuning hardware, and tuning software. Unless otherwise agreed in writing, the following terms and conditions apply to all services on this website. COMPANY only accepts its own terms and conditions and not those of the buyer. COMPANY reserves the right to change these terms and conditions at any time. The current terms and conditions can always be found on the COMPANY website. COMPANY will not notify buyers whenever changes are made to the terms and conditions, as they are always kept up to date on the COMPANY website. Offers and Contracts All COMPANY offers are non-binding and valid for a period of 14 days unless otherwise agreed in writing. A contract is concluded when both parties sign it, or when an order in the online shop is submitted by the buyer and accepted by COMPANY. All prices and information on COMPANY's website are created with great care. However, if any errors occur, COMPANY has the right to correct them without liability for damages. COMPANY is not obligated to accept all orders and cannot be held liable for compensation or damages. The buyer must ensure the correctness of the provided information when transmitting software data. Any defects in the vehicle MUST be reported by the buyer when placing the order. COMPANY is not liable for any resulting vehicle damage. All information, files, and delivered software products remain the intellectual property of COMPANY. Delivery of Automotive Software COMPANY only processes unencrypted files from master devices and its own slave structure. The buyer orders the software through COMPANY's webshop and pays in advance with previously purchased credits. COMPANY then carefully creates the ordered software and uploads it to the user panel for the buyer to download. Processing time ranges from one hour to one business day. All delivery instructions from COMPANY are non-binding. Failure to meet the delivery time does not constitute non-performance of the contract. If the delivery time cannot be met, COMPANY will inform the buyer immediately. The buyer must submit all necessary data to COMPANY. Delivery of Tuning Hardware or Software Once the product is handed over to the shipping company, it is considered delivered. COMPANY organizes the transport at the seller’s risk and expense. Payment is made via PayPal or bank transfer. Products are delivered by mail to the buyer’s address. If it is software, such as WinOLS, it is sent via email. The specified delivery time is usually met but is not binding. Upon receipt of the goods, the buyer must check them immediately and report any defects. Payment System and Payment Payment for vehicle software (tuning files) is made exclusively via credits, which must be purchased before ordering. Credits are non-transferable. Prices are listed in Euro and include VAT. COMPANY is entitled to adjust prices annually according to the consumer price index. Price increases are not separately communicated but are directly visible in the shop. Intellectual Property All supplied tuning files, vehicle software, and other products developed by COMPANY remain COMPANY’s intellectual property and are provided as a usage license. The sale, display, transfer, or duplication of these products is strictly prohibited. Any violation of COMPANY's intellectual property rights entitles COMPANY to claim damages. In case of a violation, the buyer must pay a contractual penalty of €3,000. Additionally, COMPANY reserves the right to claim total damages incurred. Complaints Complaints regarding delivered files must be made in writing within 24 hours, and for all other products within 5 days. Complaints must be as detailed as possible and include an error memory report with appropriate error codes for tuning files. Complaints about performance data and tuning values will not be accepted unless deviations exceed 20% of the stated values. COMPANY will promptly attempt to provide a modified software version. Warranty COMPANY assumes no liability for the proper functioning of files but guarantees that non-functional files will be revised free of charge. The installation of tuning files is carried out by the buyer, and COMPANY assumes no liability. WinOLS Reseller Database COMPANY provides automated projects for sale through the EVC/WinOLS reseller feature. Payment is made via credits, which must be purchased in advance. Downloads are fully automated. Liability of the Buyer The buyer acknowledges that any vehicle modifications, including software changes, may invalidate the vehicle's operating license unless properly registered. Retention of Title The goods remain COMPANY's property until full payment is received. Indemnification The buyer agrees to indemnify and hold COMPANY harmless from any third-party claims. Severability Clause Should any provision of this contract be invalid or unenforceable, the remaining provisions remain unaffected. The invalid provision will be replaced by a legally permissible provision that best aligns with the intended economic purpose. Jurisdiction All points are subject to Georgian law and are to be paid to the georgien Commercial Court. COMPANY reserves the right to change the jurisdiction.
